License General - All content created through this purchase including, but not limited to, programming code, graphics, and other deliverables created and/or developed as described on the item page of the system, service and/or templates being ordered remain the sole property of and WebStoreSEO.com until all fees are paid in full. Upon payment in full of all fees, WebStoreSEO.com shall grant to purchaser an unlimited license to use and alter the software and other deliverables created through this purchase in perpetuity on a single store. WebStoreSEO.com reserves the right to use these items, in whole and in part, along with their derivatives, in subsequent internal projects or for other clients.

It’s understood that Purchaser is an owner or licensed agent and agrees to supply all graphics/images relating to the design as applicable as well as descriptive text/content and other required information to WebStoreSEO.com and that WebStoreSEO.com has been granted permission to utilize these items in the development of the Yahoo! Store.

If either WebStoreSEO.com or Purchaser defaults on the terms of this purchase, the sole recourse shall be for the value of the services/products purchased plus reasonable attorney fees. There shall be no liability, expressed or implied, for lost sales or profits or any other kind of punitive damages on either side. In the event a dispute shall arise between the parties to this purchase, the parties agree to participate in at least four hours of mediation in accordance with the mediation procedures of United States Arbitration & Mediation before resorting to arbitration, litigation, or other dispute resolution procedure. The parties agree to share equally in the costs of the mediation.

"Estimated Turnaround" or "Lead Time" is a forward-looking projection based on our current development schedule at the time of order and completion time of an average Yahoo! Store project. It is an "estimate" only and subject to change based on holidays, acts of god/nature, circumstances beyond our control, stated mission, objectives, instructions, specifications, copy, materials and other assets known as "parameters" provided to us. Further, modifications to any project "parameters" after commencement of this project will likely affect the estimate.

WebStoreSEO.com agrees not to copy or divulge any Purchaser’s proprietary data including, but not limited to, customer lists and customer email addresses. Purchaser agrees to do the same with regards to WebStoreSEO.com and any information noted as proprietary or confidential.

Purchaser agrees that, to keep WebStoreSEO.com’s costs in line with the fees listed, Purchaser will appoint one primary contact within their organization and authorize that contact person to represent Purchaser, speaking on their behalf in all communication, either written or oral, with WebStoreSEO.com.
