Terms of Service

These Terms govern access to the WebStoreSEO website and establish the general conditions that apply before and alongside a separate consulting proposal or service agreement.

Important distinction

These Terms apply to the website and general interactions with WebStoreSEO. Paid consulting services are also governed by the proposal, statement of work, order form, invoice terms, nondisclosure agreement, or other written agreement accepted for that engagement. If a service agreement conflicts with these Terms, the service agreement controls.

1. Acceptance of these terms

By accessing or using webstoreseo.com, submitting a form, requesting services, or otherwise interacting with WebStoreSEO, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the website.

2. Business use and authority

The website and services are intended primarily for business and professional use. You represent that you are at least 18 years old and, when acting for a company or other organization, that you have authority to communicate and enter agreements on its behalf.

3. Website information

Website content is provided for general informational and marketing purposes. It is not legal, financial, tax, cybersecurity, or other regulated professional advice. Search platforms, algorithms, AI systems, technical standards, and industry practices change frequently, and website content may not always reflect the most recent development.

WebStoreSEO may change, remove, or update website content at any time without notice.

4. Consulting engagements

A paid engagement begins only when the applicable proposal, statement of work, order form, or other written agreement has been accepted and any required initial payment has been received. Conversations, website forms, preliminary reviews, or proposals do not create a client relationship unless confirmed in writing.

Scope, deliverables, timelines, access requirements, meeting cadence, implementation responsibilities, fees, term, renewal, and cancellation terms will be stated in the applicable agreement. Work outside the agreed scope may require a change order or separate fee.

5. Fees, payment, and cancellation

Fees are due according to the applicable proposal, invoice, or service agreement. Unless otherwise stated in writing:

  • Invoices are payable in U.S. dollars by the stated due date.
  • Recurring fees may be billed in advance.
  • WebStoreSEO may pause work or access when an account is overdue.
  • Fees for completed work, reserved capacity, assessments, strategy sprints, and work already underway are non-refundable.
  • Approved third-party expenses and work outside scope may be billed separately.

Any minimum term, renewal, notice period, early termination obligation, or capacity reservation will be identified in the client agreement.

6. Client responsibilities

Clients are responsible for:

  • Providing timely, accurate information and appropriate access to websites, analytics, search platforms, development resources, and stakeholders.
  • Maintaining current backups and appropriate security controls before technical changes are made.
  • Reviewing and approving recommendations, content, code, tickets, and implementation decisions.
  • Ensuring that their websites, claims, products, services, data practices, and instructions comply with applicable law and platform policies.
  • Informing WebStoreSEO of migrations, redesigns, releases, outages, ownership changes, or other events that may affect the work.

Delays, incomplete access, inaccurate information, unapproved third-party changes, or failure to implement recommendations may affect schedules and results.

7. No guarantee of results

WebStoreSEO does not guarantee rankings, traffic, revenue, leads, conversions, indexing, crawling, featured snippets, citations, AI mentions, AI recommendations, platform approvals, recovery dates, or any specific business outcome.

Search engines, generative systems, advertising platforms, browsers, hosting providers, developers, competitors, market conditions, and client decisions are outside WebStoreSEO’s control. Recommendations are based on available evidence and professional judgment at the time.

8. Tools and AI-assisted systems

WebStoreSEO may use crawlers, analytics platforms, proprietary methods, automated processes, software, and AI-assisted tools to support research, analysis, documentation, testing, and quality assurance. These tools may produce incomplete or inaccurate outputs and are subject to professional review.

Unless otherwise agreed, clients should not provide regulated, highly sensitive, or unnecessary personal data. Client-specific restrictions on tools, data handling, confidentiality, or security must be agreed in writing before work begins.

9. Intellectual property

WebStoreSEO materials

The website, branding, methods, frameworks, templates, prompts, processes, software, know-how, and pre-existing materials are owned by WebStoreSEO or its licensors and are protected by intellectual-property laws. No ownership transfers unless expressly stated in writing.

Client deliverables

Rights in final client-specific deliverables will be defined in the applicable agreement. Unless otherwise stated, the client receives a non-exclusive, internal business-use license after all related fees are paid. WebStoreSEO retains ownership of underlying methods, templates, tools, generalized knowledge, and reusable components that do not disclose the client’s confidential information.

Portfolio and publicity

WebStoreSEO will not publicly identify a client or use confidential results as a case study unless permitted by the client agreement or separate written consent.

10. Information and materials you submit

You represent that you have the right to provide any information, content, credentials, data, or materials submitted to WebStoreSEO and to authorize their use for the requested services.

Information submitted before a formal engagement is not treated as confidential unless covered by a separate nondisclosure agreement or clearly accepted as confidential in writing. Do not submit trade secrets, credentials, or highly sensitive information through a general contact form.

11. Acceptable use

You may not use the website or services to:

  • Violate law, infringe rights, misrepresent identity, or facilitate fraud or deceptive practices.
  • Attempt to gain unauthorized access to systems, accounts, code, forms, data, or infrastructure.
  • Transmit malware, scrape the website at unreasonable volume, interfere with operation, or bypass security controls.
  • Copy, resell, publish, reverse engineer, or exploit proprietary materials except as expressly authorized.
  • Use deliverables to create misleading claims or to represent that WebStoreSEO guarantees a result.

12. Third-party platforms

WebStoreSEO may reference, access, or work with third-party platforms such as search engines, analytics services, content-management systems, hosting providers, form providers, ecommerce systems, AI tools, and development platforms. Third-party services are governed by their own terms, availability, data practices, and technical limitations.

WebStoreSEO is not responsible for third-party outages, policy changes, account suspensions, data loss, pricing changes, defects, or actions.

13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND GENERAL WEBSITE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WEBSTORESEO DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

Any warranties or service commitments for a paid engagement must be expressly stated in the applicable written agreement.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEBSTORESEO WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES; OR DAMAGES ARISING FROM THIRD-PARTY PLATFORMS, CLIENT IMPLEMENTATION, OR UNAUTHORIZED CHANGES.

FOR WEBSITE-ONLY CLAIMS NOT GOVERNED BY A SEPARATE CLIENT AGREEMENT, WEBSTORESEO’S TOTAL LIABILITY WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). LIABILITY FOR PAID SERVICES WILL BE GOVERNED BY THE APPLICABLE WRITTEN AGREEMENT.

Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply.

15. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless WebStoreSEO and its owners, contractors, and service providers from claims, damages, losses, liabilities, and expenses arising from your unlawful use of the website, violation of these Terms, infringement of third-party rights, or materials and instructions you provide.

16. Suspension and termination

WebStoreSEO may restrict or terminate website access for misuse, security risk, legal concerns, or violation of these Terms. Suspension or termination of a paid engagement will be governed by the applicable service agreement, including payment obligations for work performed, committed resources, and reserved capacity.

17. Governing law and venue

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles. Any dispute relating solely to the website or these Terms that is not governed by a separate agreement must be brought in the state or federal courts located in Fulton County, Georgia, and each party consents to personal jurisdiction and venue there.

18. General provisions

These Terms, together with the Privacy Policy and any applicable written service agreement, constitute the relevant agreement between you and WebStoreSEO. If a provision is held unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will continue in effect.

Failure to enforce a provision is not a waiver. You may not assign your rights or obligations without written consent. WebStoreSEO may assign these Terms in connection with a business reorganization, asset transfer, or successor.

19. Changes to these terms

WebStoreSEO may update these Terms from time to time. The “Last updated” date identifies the current version. Continued use of the website after an update constitutes acceptance of the revised Terms, except where additional notice or consent is required by law.
